1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the ZetFund platform, including our website, applications, and related services (together, the "Platform"). By creating an account or using the Platform, you agree to be bound by these Terms and by our Privacy Policy and Risk Disclosure. If you do not agree, do not use the Platform.

2. Eligibility and Identity Verification (KYC)

You must be of legal age in your jurisdiction and legally capable of entering into binding contracts to use the Platform. To invest through the Platform, you must complete our identity verification (Know Your Customer, "KYC") process, which requires submitting accurate identity documents. Companies raising funds must additionally complete a company profile and pass our campaign review process.

We may refuse, suspend, or revoke verification at our discretion, including where information appears inaccurate, incomplete, or inconsistent, or where required by law. You are responsible for keeping your verification information current.

3. ZetFund's Role as a Platform

ZetFund is a technology platform that connects companies seeking funding with investors. ZetFund is not a bank, broker-dealer, investment advisor, or fiduciary, and does not hold customer deposits. We do not recommend, endorse, or advise on any investment. Any investment you make is a transaction between you and the company raising funds, on the terms set out in that company's campaign.

We review campaigns before they go live and verify payment proofs submitted by investors, but such review does not constitute an endorsement, a guarantee of accuracy, or a guarantee of any outcome.

4. Scores Are Informational Only

The ZetFund score, tier grades, confidence ratings, percentile benchmarks, and related analytics (together, "Scores") are automated, informational tools derived primarily from data provided by the companies themselves. Scores are not financial advice, are not a recommendation to invest, and are not a prediction or guarantee of performance or returns. A high Score does not mean an investment is safe, and a low Score does not mean it will fail. You are solely responsible for your own investment decisions and for conducting your own due diligence.

5. Investment Risks

Investing in startups, private companies, and franchises is speculative and involves substantial risk, including the loss of your entire investment, illiquidity, and dilution. You should only invest money you can afford to lose. Please read our Risk Disclosure in full before investing.

6. Investments and Payments

Investments on the Platform are made by bank transfer to the payment details shown for the relevant campaign. After transferring funds, you must upload proof of payment through the Platform. An investment is not confirmed until the payment proof has been verified. You are responsible for the accuracy of the transfers you make, including amounts and references. ZetFund is not responsible for transfers sent to incorrect details that do not match those shown on the Platform.

7. User Accounts and Obligations

You agree to:

• provide accurate, current, and complete information when registering, completing KYC, or submitting company assessments;
• keep your account credentials confidential and notify us promptly of any unauthorized use of your account;
• use the Platform only for lawful purposes and in accordance with these Terms;
• if you represent a company, ensure that all information in your profile, assessments, and campaign materials is truthful and not misleading.

8. Prohibited Conduct

You must not:

• submit false, forged, or misleading information, documents, or payment proofs;
• attempt to manipulate Scores, benchmarks, or campaign metrics;
• impersonate any person or entity, or create accounts on behalf of others without authorization;
• use the Platform for money laundering, fraud, or any other unlawful activity;
• scrape, reverse engineer, or interfere with the operation or security of the Platform;
• circumvent the Platform to solicit or complete investments that originate from it, where doing so is intended to evade these Terms.

9. Intellectual Property

The Platform, including its software, design, Scores, scoring methodology, and content created by ZetFund, is owned by ZetFund or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose. Content you submit (such as company profiles and campaign materials) remains yours; by submitting it, you grant ZetFund a license to host, display, and process it as needed to operate the Platform.

10. Disclaimers and Limitation of Liability

The Platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. To the maximum extent permitted by law, ZetFund disclaims all liability for investment losses, for the accuracy or completeness of information provided by companies, for the conduct of users, and for any indirect, incidental, special, or consequential damages arising from your use of the Platform. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

11. Termination

You may close your account at any time. We may suspend or terminate your account or access to the Platform if you breach these Terms, if required by law, or to protect the Platform and its users. Provisions that by their nature should survive termination (including those on intellectual property, disclaimers, and limitation of liability) will survive.

12. Governing Law

These Terms are governed by the laws of the jurisdiction in which ZetFund is established, without regard to conflict-of-law principles. The specific governing law and dispute-resolution forum will be set out here prior to public launch.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and take reasonable steps to notify you, such as a notice on the Platform. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
